1. Acceptance of Terms

By accessing and using the services of FAC Systems ("we", "our", or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use our services.

2. Services Description

FAC Systems provides web design and development services including but not limited to:

Custom website design and development
E-commerce website development
WordPress and CMS development
Search engine optimization (SEO)
Digital marketing services
Website maintenance and support

3. Project Terms

3.1 Project Initiation

All projects begin after receipt of the agreed deposit and signed project agreement. Project timelines are estimates and may vary based on project complexity and client feedback.

3.2 Client Responsibilities

Clients are responsible for:

Providing timely feedback and content
Reviewing and approving project milestones
Providing necessary access to existing systems
Ensuring content is legal and appropriate

3.3 Project Changes

Significant changes to project scope may result in additional charges and timeline adjustments. Minor revisions are included in the original project cost.

4. Payment Terms

4.1 Payment Schedule

50% deposit required to begin work
25% payment upon project completion
25% payment upon project launch

4.2 Late Payments

Late payments may result in project suspension and additional fees. All payments are due within 30 days of invoice date.

5. Intellectual Property

5.1 Client Ownership

Upon full payment, clients own the final website design and content. FAC Systems retains the right to showcase completed work in our portfolio.

5.2 Third-Party Assets

Clients are responsible for ensuring they have proper licenses for any third-party content, images, or fonts used in their projects.

6. Limitation of Liability

FAC Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

7. Warranty and Support

7.1 Warranty Period

We provide a 30-day warranty period after project launch for any bugs or issues related to our development work.

7.2 Ongoing Support

Ongoing support and maintenance services are available at additional cost. Emergency support may incur additional charges.

8. Termination

Either party may terminate a project with written notice. In the event of termination:

Client is responsible for payment of work completed
FAC Systems will deliver all completed work
No refunds for completed work

9. Confidentiality

We maintain strict confidentiality regarding client information and project details. We will not disclose confidential information to third parties without written consent.

10. Force Majeure

Neither party shall be liable for any delay or failure to perform due to circumstances beyond their reasonable control, including but not limited to acts of God, war, or government restrictions.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified terms.
